AFFILIATE AGREEMENT
THIS AGREEMENT is made as of
by and between Learn and Grow Rich, a [STATE/COUNTRY OF INCORPORATION] corporation (“Company”), and
a
individual or entity (“Affiliate”).
WHEREAS, the Company has developed and operates a program (the “Program”) whereby Affiliate may earn commissions on products sold by the Company;
NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. COMMISSIONS
a. Affiliate shall earn a commission equal to 10% of the net sales price (excluding taxes and shipping) of products sold to customers who purchase through a qualifying link on Affiliate’s website.
b. Commissions will be paid on the last day of each month via PayPal.
2. TERM AND TERMINATION
a. This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either party with written notice.
b. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.
3. OBLIGATIONS OF THE AFFILIATE
a. Affiliate shall comply with all applicable laws and regulations in performing its duties hereunder.
b. Affiliate shall not make any false or misleading representations regarding the Company or its products.
4. CONFIDENTIALITY
a. Affiliate agrees to maintain the confidentiality of the Company’s confidential information and shall not disclose or use such information except as expressly permitted herein.
5. LIMITATION OF LIABILITY
a. In no event shall the Company be liable for any consequential, indirect, incidental, special, exemplary, or punitive damages, lost profits or revenues, or diminution in value, arising out of or relating to any breach of this Agreement.
6. INDEMNIFICATION
a. Affiliate shall indemnify, defend, and hold harmless the Company from and against all losses arising out of or resulting from any breach of this Agreement or any wrongdoing by the Affiliate.
7. GOVERNING LAW
a. This Agreement shall be governed by and construed in accordance with the internal laws of the [STATE/COUNTRY OF GOVERNING LAW] without giving effect to any choice or conflict of law provision or rule.
8. MISCELLANEOUS
a. This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, agreements, or understandings between them.
b. Any amendments to this Agreement must be in writing and signed by both parties.
IN WITNESS WHEREOF, the parties hereto have executed this Affiliate Agreement as of the Effective Date.
